Hela Gewürzwerk Hermann Laue GmbH
§ 354a HGB(《德国商法典》)不受影响。
Hela Gewürzwerk Hermann Laue GmbH
5.4.1. 对身体、健康或生命造成的伤害;
(Force majeure)
General Terms and Conditions of Purchase and Ordering
Hela Gewürzwerk Hermann Laue GmbH
(As of July 1, 2023)
1. Placing Orders
All orders for goods and services, including future orders, are placed subject to these terms and conditions of purchase and ordering. We do not recognize any terms and conditions of the supplier that conflict with or deviate from our terms and conditions of purchase and ordering unless we have expressly agreed in writing to their application. Such terms and conditions are hereby rejected as a precaution. Our terms and conditions of purchase and ordering also apply if we accept the supplier's delivery without reservation while being aware of the supplier's terms and conditions that conflict with and/or deviate from our terms and conditions of purchase and ordering.
Oral agreements and differing terms and conditions of the supplier are valid only if we confirm them at least in text form. Our terms and conditions of purchase and ordering apply only to entrepreneurs.
Even after the contract has been concluded, we may demand changes to the goods to be delivered or the services to be provided and cancel the contract in whole or in part, provided this is reasonable for the supplier. The supplier assumes the procurement risk for the deliveries and services it owes throughout its entire upstream supply chain, particularly with regard to supplies from its own upstream suppliers.
2. Delivery
The agreed delivery dates are binding. Early deliveries must be coordinated by mutual agreement. If delays are expected, the supplier must notify us in writing without undue delay, stating the reasons, and offer a new delivery or performance date. We are entitled to withdraw from the contract if we do not agree to the proposed new date and the supplier refuses to deliver or perform within a reasonable additional period set by us. If we agree to a new date proposed by the supplier or the supplier accepts an additional period set by us, this does not constitute an extension of the contractually agreed delivery or performance date. Any claim that has already arisen for compensation for loss caused by the resulting delay remains unaffected. If the supplier is wholly or partly in default in respect of a delivery or service, we are entitled to the full range of statutory remedies (damages/withdrawal). If, under installment supply agreements and similar
agreements, the supplier is in default in respect of a partial delivery or service, we are entitled, after an additional period set by us for that partial delivery has expired without result, to withdraw from the contract with respect to all outstanding partial deliveries or services and/or to claim damages in lieu of performance.
As a general rule, partial deliveries require our consent. If we accept them without prior consent, this does not establish an earlier due date or constitute agreement to assume any additional transportation costs.
As a general rule, excess or short deliveries do not conform to the contract and entitle us to reject the delivery.
3. Shipping
Shipping takes place in accordance with the agreed terms of delivery to the address specified in our purchase order. The supplier is obliged to comply with all relevant shipping and declaration regulations as well as any export and import formalities. Any damage resulting from non-compliance with these regulations is borne by the supplier. The risk of shipment passes to us only upon completed delivery. Each delivery must be accompanied by a specified delivery note stating our order number, the material, the type of packaging, package no., weight, batch number, organic labeling where applicable, and all other general delivery documents.
4. Insurance
Insurance costs are borne by us only if this has been agreed with us in advance. Acceptance of our order includes the supplier's obligation to take out, before delivery or before beginning the work undertaken, liability insurance, also covering product liability damage, with sufficient coverage for personal injury, property damage, and financial loss, and to provide us with proof thereof upon request.
5. Prices – Terms of Payment
The price stated in the purchase order is binding. In the absence of any agreement to the contrary, the agreed price includes delivery and packaging. Invoices must be sent directly to us separately for each order when the goods are dispatched, stating the order number. Our order number must be stated on the invoices. Value added tax must be shown separately. In particular, the invoice must indicate the type and scope of the delivery and service. We may settle invoices that are sent late or incomplete with deduction of the full cash discount, even if payment is consequently delayed. Assignments are excluded without our written consent. § 354a HGB (German Commercial Code) remains unaffected. In the event of default in payment, we owe default interest at a rate of 5 percentage points above the base interest rate pursuant to § 247 BGB (German Civil Code).
We expressly object to clauses and arrangements that contain automatic price adjustment mechanisms, value maintenance clauses, or unilateral price adjustment rights for the supplier.
Each price is understood to be in euros unless another currency is agreed in writing.
6. Warranty
The supplier owes delivery free of defects. It warrants that the goods are free from material defects and defects of title, in particular that they comply with the specifications of the respective goods and conform to the agreed quality and the other subjective and objective requirements (§ 434 BGB (German Civil Code)) as well as to the information in the purchase order/order and the declaration of conformity. The supplier warrants the use of flawless material that meets our requirements and proper workmanship. The supplier is responsible for executing the order in such a way that the statutory provisions, in particular the Act on Technical Work Equipment and Consumer Products, the accident prevention regulations of the employers' liability insurance associations, and the latest versions of the DIN and VDE provisions, are observed. The supplier is further responsible for ensuring that the delivery and use of the delivered items do not infringe any third-party rights. Otherwise, it undertakes to indemnify us against claims for damages by third parties. We are entitled to the statutory warranty claims without restriction. The respective statutory limitation periods apply. The supplier is responsible for ensuring compliance with the legal provisions applicable to the execution of the order, in particular those of the EU market organization and food law, as well as all other relevant
regulations and official orders. The supplier undertakes to comply with the Code of Conduct available on Hela's website.
The statutory provisions apply without restriction to our claims and rights in the event of material defects and defects of title and to their limitation. Any guarantee claims apply in addition. As a general rule, payment of invoices in the ordinary course of business never constitutes a waiver of warranty claims.
7. Duty to Give Notice of Defects
Notices of defects that the supplier receives within a period of five working days, calculated from receipt of the goods or, in the case of hidden defects, from their discovery, are always deemed to have been given without undue delay within the meaning of § 377 HGB (German Commercial Code). In the case of delivery of non-fungible goods, § 377 HGB does not apply. The provisional handling of the rejected goods is governed by § 379 HGB.
8. Retention of Title
Ownership passes to us at the time of delivery. Any retention of title by the supplier to the goods is excluded. This applies in particular, but not exclusively, to extended retention of title, forwarded retention of title, and retention of title prolonged to cover further processing.
9. Product Liability
Insofar as the supplier is responsible for product damage, it is obliged to indemnify us upon first demand against claims for damages by third parties to the extent that the cause lies within its sphere of control and organization and it is itself liable in relation to third parties. If we are obliged to carry out a recall vis-à-vis third parties due to a defect in a product delivered by the supplier, the supplier bears all costs associated with the recall. Further statutory claims remain unaffected.
10. Safety
If employees or agents of the supplier work on our company premises, the supplier must ensure that they comply with the applicable safety and accident prevention regulations and observe the operating rules issued by the plant. The supplier will continuously remind its employees or agents of these regulations. If the supplier does not remedy a violation of these regulations within two weeks after a written warning, or if there are repeated serious violations of these regulations, we are entitled to terminate the contract extraordinarily with immediate effect. The supplier must bear any damage resulting from non-compliance with these regulations.
11. Deterioration of Financial Circumstances
If, after conclusion of the contract, it becomes apparent that our claim to counter-performance is jeopardized by the supplier's lack of ability to perform (e.g., suspension of payments, application for the opening of insolvency proceedings), we are entitled, at our option and without prejudice to other rights, to withdraw from the contract without setting a deadline or to terminate the contract for good cause, or to refuse our performance until the supplier has rendered the counter-performance or provided security for it.
12. Designs, Drawings, Models, Confidentiality
All information obtained during the business relationship with us (in particular designs, drawings, models, recipes, and knowledge of technology and production processes) that is provided to the supplier by us, produced according to our specifications, or obtained in the course of providing the services remains our property (or becomes our property at the time it comes into existence) and may not be used for other purposes or disclosed to third parties. It must be surrendered to us upon request.
13. Set-Off, Retention
The supplier is entitled to any statutory right of set-off only in respect of undisputed, finally adjudicated claims. The supplier is entitled to any statutory right of retention or right to refuse performance only in respect of such undisputed or finally adjudicated claims that arise from the same contractual relationship with us.
14. Socio-Ecological and Ethical Compliance
The supplier undertakes to acknowledge the socio-ecological and ethical requirements of our Code of Conduct (“Conduct Obligations”), to comply with them, and to address them appropriately vis-à-vis its upstream suppliers within its own supply chain. Upon our request, the supplier will submit a sustainability questionnaire within a reasonable period (as a rule, 2 weeks). The supplier acknowledges that compliance with the Conduct Obligations is of essential importance for any cooperation with us. In the event of contradictions, the provisions of these terms and conditions of purchase take precedence over the requirements of the Code of Conduct.
The supplier is obliged to inform the ordering party appropriately, on an ad hoc basis, about the implementation of the Conduct Obligations and about identified violations and risks in its supply chain. We have a right to audit compliance with the Conduct Obligations in accordance with the Code of Conduct.
The focus of our interest is our claim to compliance with the Conduct Obligations with the aim of minimizing risk. Details of preventive and remedial measures and of any claims for damages are set out in the Code of Conduct.
15. Place of Performance, Place of Jurisdiction, Applicable Law
The place of performance for the delivery, the service, or any subsequent performance is the place of delivery specified by us. The place of payment for our payment obligations is Ahrensburg. The place of jurisdiction for both contracting parties is Ahrensburg. However, in all cases we are also entitled to bring an action at the place of performance of the delivery or service or at the supplier's general place of jurisdiction. The law of the Federal Republic of Germany applies exclusively, to the exclusion of private international law and the uniform international law on the sale of goods (CISG).
General Terms and Conditions of Sale, Delivery, and Payment
Hela Gewürzwerk Hermann Laue GmbH
(As of August 2024)
1. Scope of Application
1.1 Sales and deliveries by Hela Gewürzwerk Hermann Laue GmbH (hereinafter “Hela”) are carried out exclusively in accordance with the following Terms and Conditions of Sale, Delivery, and Payment (hereinafter “Terms and Conditions”). They also apply to all future transactions with the Buyer, even if they are not expressly agreed again.
1.2 The applicability of deviating, conflicting, and supplementary terms and conditions of the Buyer is excluded, even if Hela does not expressly object to them despite being aware of them.
1.3 These Terms and Conditions of Sale apply only to entrepreneurs (§ 14 BGB (German Civil Code)), legal entities under public law, or special funds under public law within the meaning of § 310 para. 1 BGB.
2. Conclusion of Contract, Delivery
2.1 Hela's offers are subject to change and non-binding unless they are expressly designated as binding by Hela in the individual case.
2.2 Purchase orders or orders placed by the Buyer are deemed to be a binding contractual offer. Unless otherwise stated in the purchase order or the order, Hela is entitled to accept this contractual offer within 10 days of receipt by means of an order confirmation or by executing the purchase order or the order.
2.3 Purchase contracts for the delivery of goods are concluded only upon Hela's written order confirmation. Amendments to the agreements, including these Terms and Conditions, and ancillary agreements must be made in writing.
2.4 The goods are delivered ex works Hela (Incoterms 2020, ICC). The risk in respect of the goods passes to the Buyer when the goods are handed over to the carrier or (in the event that the Buyer collects the goods itself) to the Buyer itself. In the event that the handover of the goods is delayed for reasons within the Buyer's sphere of responsibility, the risk passes to the Buyer on the day on which the Buyer is informed that the goods are ready for dispatch or handover.
2.5 If the value of the goods is less than EUR 40.00, Hela charges a proportionate freight and postage fee of EUR 3.75.
2.6 The delivery dates specified by Hela are not fixed delivery dates unless expressly agreed otherwise.
2.7 Hela is entitled to make partial deliveries for justified reasons, insofar as this is reasonable for the Buyer. Each partial delivery results in partial fulfillment of the delivery obligation.
2.8 In the event that Hela is in default with the delivery, the Buyer is entitled to withdraw from the contract only if it has previously set a reasonable period for delivery without success. A reasonable period is, as a rule, at least two weeks.
2.9 The Buyer is obliged to accept goods that conform to the contract. In the event that the Buyer is in default of acceptance of the goods or breaches other duties to cooperate owed to Hela, Hela is authorized to withhold the goods at the Buyer's risk and expense. Hela reserves the right to assert further rights.
3. Prices
3.1 The prices for all purchased items are determined in accordance with Hela's price and conditions list valid at the time the contract is concluded, provided that delivery takes place within four months of conclusion of the contract. If deliveries take place later than four months after conclusion of the contract, or within the framework of continuing obligations, the price is determined in accordance with Hela's price list valid at the time of delivery. Irrespective of the two preceding sentences, the contracting parties remain free to agree on a specific fixed price.
3.2 All prices of Hela are exclusive of the applicable statutory value added tax. They apply ex works Hela (Incoterms 2020, ICC) excluding packaging. Unless otherwise agreed, the Buyer bears the costs of transport, insurance, customs duties, and other costs associated with the delivery.
3.3 In the event that taxes or public charges of any kind are newly introduced or increased, or should the costs of transport, raw materials, or production increase due to statutory provisions or official orders, after the contract with the Buyer has been concluded, Hela is authorized to add the corresponding cost increase to the agreed price.
3.4 Hela's right to demand a price adjustment remains unaffected if circumstances that have become the basis of the contract have changed significantly and the parties would not have concluded the contract, or would have concluded it with different content, had they foreseen the change, and Hela cannot reasonably be expected to adhere to the unchanged contract. In particular, this may also include the determination of a gas shortage, an energy shortage, significantly increased logistics costs, or similar events.
3.5 In the event that, after conclusion of the contract, Hela has justified reason to assume that the Buyer is not in a position to fulfill its obligations (e.g., if the Buyer fails to make payments when due), Hela is authorized to deliver goods only against advance payment or appropriate security.
4. Terms of Payment, Set-Off, and Retention
4.1 Payments by the Buyer must be made strictly net cash immediately upon receipt of the invoice and delivery.
4.2 If the payment term is exceeded, Hela is entitled to charge maturity interest at the statutory rate. The assertion of further damage remains unaffected.
4.3 In the event of default in payment, interest is payable on the purchase price at the statutory default interest rate applicable at the time. Hela reserves the right to assert further damage caused by default.
4.4 Checks and bills of exchange are accepted only by special agreement, free of charge for Hela, and as conditional payment.
4.5 The Buyer is entitled to set off only if the counterclaims have been finally adjudicated, have been recognized by Hela, or are undisputed. The Buyer is authorized to exercise a right of retention only if its counterclaim is based on the same contractual relationship.
5. Duty to Inspect, Warranty, Liability, and Damages
5.1 The Buyer has claims for defects only if the Buyer inspects the goods without undue delay after delivery in the ordinary course of business and notifies Hela in writing of obvious defects without undue delay, as a rule within 3 working days. If a defect becomes apparent later that was not recognizable during the inspection, written notice must be given to Hela without undue delay, as a rule within 3 working days, after discovery of the defect. If the Buyer fails to give the respective notice of defects, the goods are deemed to have been approved. This does not apply in the event of fraudulent intent on the part of Hela or if the Buyer can prove that even a proper inspection would not have led to the discovery of the defect.
5.2 The basis of liability for defects is, if available, solely and conclusively the agreement made regarding the quality of the goods. All product descriptions and manufacturer specifications that are the subject matter of the individual contract or had been publicly announced by Hela at the time the contract was concluded are deemed to be an agreement on the quality of the goods. Insofar as the quality has not been agreed, whether or not a defect exists is to be assessed in accordance with the statutory provisions (§ 434 para. 2 no. 2 and no. 3 and para. 3 BGB (German Civil Code)). Hela assumes no liability for public statements by third parties (e.g., advertising statements).
5.3 In the event that the Buyer culpably fails to accept the goods without justified reason or withdraws from the contractual agreement without grounds for withdrawal, Hela is entitled to demand a lump sum of 20% of the agreed purchase price as damages. The Buyer is entitled to prove that no damage was incurred or that the damage was not incurred in that amount. Hela remains free to prove higher damage.
5.4 Unless otherwise agreed in these General Terms and Conditions, Hela is liable for damage within the scope of fault-based liability for breach of contractual and non-contractual obligations in accordance with the statutory provisions.
5.5 In the event of simple negligence, Hela is liable only:
5.4.1. For injury to body, health, or life;
5.4.2. For the breach of an essential contractual obligation (cardinal obligations); in this case, Hela's liability is limited to the foreseeable damage that typically occurs and, in terms of amount, to the sum insured under Hela's business liability insurance applicable to the case of damage.
5.6 Hela is not liable for indirect damage, in particular not for lost profits.
5.7 The limitation period for material defects and defects of title is 1 year from delivery of the goods. This does not apply in cases of § 438 para. 1 no. 2 BGB (German Civil Code).
5.8 The above limitation provisions also apply to contractual and non-contractual claims of the Buyer arising from a defect in the goods, unless the statutory provisions (§§ 195, 199 BGB (German Civil Code)) provide for a shorter limitation period.
5.9 The above limitations of liability do not apply in the event of intentional or grossly negligent conduct. The same applies to claims under the Product Liability Act. The statutory provisions on recourse in the event of delivery by the Buyer to end consumers (§§ 478, 445a, 445b, 479 para. 3 BGB (German Civil Code)) remain unaffected.
6. Force Majeure
6.1 Hela is not liable for impossibility of delivery or for delayed delivery insofar as this was caused by an event of force majeure or other events unforeseeable at the time the contract was concluded for which Hela is not responsible. Unforeseeable events within the meaning of the preceding sentence are in particular war, natural disasters, labor disruptions and interruptions, difficulties in procuring raw materials, transport delays, strikes, lockouts, shortage of labor, energy shortages (in particular due to a gas shortage), difficulties in obtaining official permits and official measures, pandemics or epidemics, or non-delivery or incorrect delivery by upstream suppliers.
6.2 In the event that the impediment is only temporary, the date of the delivery owed is postponed for the duration of the impediment plus a reasonable restart period. In the event that the Buyer cannot justifiably be expected to accept such a delay, the Buyer is entitled to withdraw from the contract by written notice to Hela without undue delay. In the event that the impediment makes delivery or performance impossible or substantially more difficult and the impediment is not merely temporary, Hela is entitled to demand an adjustment of the contract (including a price adjustment) or to withdraw from the contract in whole or in part. In the event of withdrawal, Hela is obliged to refund to the Buyer any payments already received. In particular, Hela is also entitled to reduce agreed delivery quantities to a reasonable extent and until the event has ended.
6.3 Hela is obliged to inform the Buyer without undue delay of the impediments that lead to delay or impossibility of performance and of the anticipated duration of the delay.
7. Retention of Title
7.1 Until all present and future claims arising from the purchase contract and the ongoing business relationship (secured claims) have been fulfilled, the delivered goods (goods subject to retention of title) remain the property of Hela.
7.2 The Buyer is permitted to sell the goods subject to retention of title only in its usual, ordinary course of business. The Buyer is not entitled to pledge the goods subject to retention of title, to transfer ownership of them by way of security, or to make any other dispositions that jeopardize Hela's ownership. The Buyer hereby assigns to Hela the claim arising from the resale of the goods; Hela hereby accepts this assignment. If the Buyer sells the goods subject to retention of title together with other goods, the assignment of the claim is deemed agreed only in the amount of the portion corresponding to the price agreed between Hela and the Buyer plus a security margin of 10% of this price. The Buyer is initially authorized to collect the claims assigned to Hela in its own name as trustee for Hela. Hela may revoke the authorization to resell the goods subject to retention of title if there are indications that the Buyer cannot meet its payment obligation. The Buyer's authority to collect claims ends automatically, without the need for revocation, if the Buyer is facing imminent inability to pay, fails to meet its payment obligations arising from the business relationship when due, an application for the opening of insolvency proceedings against the Buyer's assets has been filed, or the opening of such proceedings has been rejected for lack of assets.
7.3 The Buyer will provide Hela at any time with all requested information about the goods subject to retention of title or about claims that have been assigned to Hela hereunder. The Buyer must notify Hela immediately of any third-party access to or claims on goods subject to retention of title, handing over the necessary documents. At the same time, the Buyer will inform the third party of Hela's retention of title. The Buyer bears the costs of defending against such access and claims.
7.4 The Buyer is obliged to store the goods subject to retention of title with the care of a prudent merchant for the duration of the retention of title. The Buyer is obliged to insure the goods subject to retention of title adequately at its own expense against fire, water, and theft damage at replacement value and, upon corresponding request by Hela, to provide Hela with the corresponding proof of insurance and to assign the claims under the insurance contract to Hela.
7.5 The treatment or processing or transformation of the goods subject to retention of title by the Buyer is deemed to have been carried out on behalf of and for Hela as manufacturer, without giving rise to any liabilities for Hela. Hela is entitled to ownership of the new items created by treatment, processing, or transformation. In the event of combination, mixing, and processing with other goods not belonging to Hela, Hela is entitled to co-ownership of the new item in the proportion of the value of the goods subject to retention of title to the new item at the time of combination, mixing, or processing. The value of the goods subject to retention of title is deemed to be the purchase price invoiced to the Buyer by Hela for them. In the event that the Buyer nevertheless acquires (co-)ownership of the new item, it hereby transfers its (co-)ownership to Hela with effect from the time of acquisition. In the event that the resold goods subject to retention of title are only co-owned by Hela, the assignment hereby effected applies at least to the portion of the claim from the resale that corresponds to the value of the affected original goods subject to retention of title.
7.6 If the realizable value of the securities exceeds the total claims of Hela to be secured by more than 10%, the Buyer is entitled to demand release to that extent, at Hela's choice.
7.7 If the Buyer is in default with material obligations toward Hela, such as payment, Hela may, without prejudice to other rights, take back the goods subject to retention of title after first setting a reasonable deadline and otherwise realize them for the purpose of satisfying due claims against the Buyer. In this case, the Buyer will immediately grant Hela or Hela's agents access to the goods subject to retention of title and surrender them. Hela is entitled to charge a reasonable amount for the costs of realization, which may be offset against the realization proceeds. If Hela takes back the goods subject to retention of title, this constitutes an implied withdrawal from the contract. If Hela seizes the goods subject to retention of title, this likewise constitutes an implied withdrawal from the contract.
7.8 The Buyer undertakes to notify Hela without undue delay of any enforcement measures (or measures equivalent thereto) by third parties against the goods subject to retention of title and/or against the assigned claims from the resale and to make available all related documents (in particular the enforcement record). In addition, the Buyer must provide Hela with an affidavit in which it declares that the goods subject to enforcement are Hela's goods subject to retention of title. The costs of Hela's measures to avert enforcement are borne by the Buyer unless a third party is obliged to bear the costs.
8. Release from Product Liability
If the Buyer sells the delivery items unchanged or after treatment or processing, combination, mixing, or blending with other goods, it shall indemnify Hela internally against product liability claims by third parties insofar as it is responsible for the defect giving rise to the liability.
9. General Provisions
9.1 The exclusive place of jurisdiction for all disputes arising from the contractual relationship is Ahrensburg. This also applies if the Buyer has no general place of jurisdiction in the Federal Republic of Germany or has moved its habitual residence abroad after conclusion of the contract. However, Hela is entitled to sue the Buyer at any other statutory place of jurisdiction.
9.2 The law of the Federal Republic of Germany applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
9.3 If individual provisions of these Terms and Conditions are invalid, this does not affect the validity of the remaining provisions.
